Terms of Service
Please read these terms carefully before using our services.
1. Acceptance of Terms
By accessing or using Garstin's services, website, or any applications made available by Garstin (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
2. Description of Services
Garstin provides enterprise IT and automation solutions, including but not limited to app development, cybersecurity, system administration, and automation services. The specific services provided will be outlined in separate agreements or statements of work between Garstin and the client.
3. User Accounts
Some of our Services may require you to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Client Responsibilities
Clients are responsible for providing accurate information, necessary access, and timely feedback as required for Garstin to deliver the Services. Clients are also responsible for obtaining any necessary permissions or rights for materials provided to Garstin for use in delivering the Services.
5. Intellectual Property Rights
Unless otherwise specified in a separate agreement, Garstin retains all intellectual property rights to the Services, including any software, designs, or methodologies developed by Garstin. Clients retain all rights to their pre-existing materials and data provided to Garstin.
6. Payment Terms
Payment terms for Services will be specified in separate agreements between Garstin and the client. Unless otherwise specified, invoices are due within 30 days of issuance. Late payments may be subject to interest charges.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the provision of Services. This includes business information, technical data, and any other information designated as confidential.
8. Limitation of Liability
To the maximum extent permitted by law, Garstin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (a) your use or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; or (c) any interruption or cessation of transmission to or from the Services.
9. Indemnification
You agree to indemnify and hold harmless Garstin and its officers, directors, employees, and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
10. Termination
Garstin may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
11. Changes to Terms
Garstin reserves the right to modify or replace these Terms at any time. It is your responsibility to review these Terms periodically for changes. Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located within the United States.
